This Fifth Amended and Restated Service Agreement (the “Agreement”) is entered into April 15, 2014, to be effective as of March 30, 2014 (the “Effective Date”), by and among Protechnics II, Inc. (“Protechnics”), Chisholm Management, Inc., a Texas corporation (“CMI”, Protechnics and CMI are collectively referred to as the “Chisholm Companies”), and Flotek Industries, Inc., a Delaware corporation (the “Company”).

The purpose of this letter agreement is to confirm the agreement of Flotek Industries, Inc., a Delaware corporation (the “Company”) to employ John Chisholm (“Chisholm”) pursuant to the following terms:
