THIS AGREEMENT AND PLAN OF REORGANIZATION (the “Agreement”) is made as of this 30th day of January, 2014, by and between The Huntington Funds, a Delaware statutory trust, with its principal place of business at 2960 N. Meridian Street, Suite 300, Indianapolis, IN 46208 (the “Trust”), with respect to its Huntington VA Dividend Capture Fund (the “Acquiring Fund”), and the Trust, with respect to its Huntington VA Income Equity Fund (the “Selling Fund”).
