THIS AMENDED AND RESTATED INVESTOR AGREEMENT (this “Agreement”) is made as of January 11, 2014, by and among Sanofi (formerly known as sanofi-aventis), a company organized under the laws of France, with its principal headquarters at 54, rue La Boétie, 75008 Paris, France (“Sanofi”), sanofi-aventis US LLC, a Delaware limited liability company indirectly wholly owned by Sanofi (“Sanofi US”) and the successor-in-interest to Aventis Pharmaceuticals Inc.
