THIS DEFERRED COMPENSATION AGREEMENT (this “Agreement”), adopted this 27th day of December, 2013, by and between by and between Riverview Bank, located in Marysville, Pennsylvania (hereinafter referred to as the “Employer”), and Robert Garst (hereinafter referred to as the “Executive”), formalizes the agreements and understanding between the Employer and the Executive. The Employer is the wholly owned subsidiary of Riverview Financial Corporation (the “Corporation”).

THIS DIRECTOR DEFERRED FEE AGREEMENT (this “Agreement”) is adopted this 26th day of December, 2013, by and between by and between Riverview Bank, located in Marysville, Pennsylvania (hereinafter referred to as the “Bank”), and William Yaag (hereinafter referred to as the “Director”), and formalizes the agreements and understanding between the Bank and the Director. The Bank is the wholly owned subsidiary of Riverview Financial Corporation (the “Corporation”).
