This Employment Agreement (the “Agreement”) is made and entered into by and between Lance Berman, M.D., M.S. (“Executive”) and Relypsa, Inc. (the “Company”) (together referred to herein as the “Parties”), effective as of September 24, 2013 (the “Effective Date”). This Agreement supersedes in its entirety that certain employment letter agreement dated as of November 30, 2011 (the “Prior Agreement”) and any agreement to which the Company is a party with respect to Executive’s employment with the Company, except for the Proprietary Information and Inventions Agreement executed by Executive (the “Confidential Information Agreement”).

This Amendment No. 1 (this “Amendment”) to the SECOND AMENDED AND RESTATED INVESTOR RIGHTS AGREEMENT, dated as of July 26, 2012 (the “Agreement”), is made and entered into as of October 30, 2013 (the “Effective Date”) by and among RELYPSA, INC., a Delaware corporation (the “Company”), and the Investors signatory hereto. Unless otherwise specifically defined herein, each capitalized term used but not defined herein shall have the meaning assigned to such term in the Agreement.
