AGREEMENT made as of the 12th day of February, 2013, between MANAGERS INVESTMENT GROUP LLC, a limited liability company organized under the laws of the state of Delaware and having its principal place of business in Norwalk, Connecticut (the “Adviser”) and Essex Investment Management Company, LLC, a limited liability company organized under the laws of the State of Delaware and having its principal place of business at 125 High Street, 29th Floor, Boston, Massachusetts, 02110 (the “Subadvisor”).
