This AMENDED AND RESTATED LOAN AND SERVICING AGREEMENT dated as of September 6, 2013, is among EXPO INC., a Delaware corporation, as Borrower, NEWELL RUBBERMAID INC., a Delaware corporation, as initial Servicer, THE COMMERCIAL PAPER CONDUITS FROM TIME TO TIME PARTY HERETO, THE FINANCIAL INSTITUTIONS FROM TIME TO TIME PARTY HERETO, THE ENTITIES FROM TIME TO TIME PARTY HERETO AS MANAGING AGENTS and their permitted successors and assigns, and PNC BANK, NATIONAL ASSOCIATION (“PNC”), as the Administrative Agent for the Lenders and the Managing Agents.
