This letter confirms the terms of your continued employment with WebMD Health Corp. (the “Company” or “WebMD”) and amends your employment agreement with WebMD Health Corp dated as of July 14, 2005, as amended (the “Employment Agreement”). Terms defined herein without definition shall have the meanings specified in the Employment Agreement.
