This letter agreement (this “Agreement”) sets forth the terms and conditions of your resignation from KMG Chemicals., Inc. and its subsidiaries and affiliates (collectively, the “Company”). If you accept and sign this Agreement, and do not revoke the Agreement within the time specified in Section 6 herein, the following terms and conditions will apply.
