THIS CONTRIBUTION AGREEMENT is made and entered into as of June 19, 2013 (this “Agreement”), by and among Physicians Realty Trust, a Maryland real estate investment trust (the “REIT”), Physicians Realty L.P., a Delaware limited partnership (the “Operating Partnership”) and a subsidiary of the REIT, and Ziegler Healthcare Real Estate Fund IV, LP, a Delaware limited partnership (the “Contributor”). Certain capitalized terms are defined in Section 6.02 of this Agreement.
