SUPPLEMENTAL INDENTURE No. 12, dated as of May 24, 2013 among PPL CAPITAL FUNDING, INC., a corporation duly organized and existing under the laws of the State of Delaware (formerly known as PP&L Capital Funding, Inc.) (herein called the “Company”), PPL CORPORATION, a corporation duly organized and existing under the laws of the Commonwealth of Pennsylvania (formerly known as PP&L Resources, Inc.) (herein called the “Guarantor”), and THE BANK OF NEW YORK MELLON, a New York banking corporation (as successor to JPMorgan Chase Bank, N.A. (formerly known as The Chase Manhattan Bank)), as Trustee (herein called the “Trustee”), under the Indenture dated as of November 1, 1997 (hereinafter called the “Original Indenture”), this Supplemental Indenture No. 12 being supplemental thereto. This SECURITIES PURCHASE AND REGISTRATION RIGHTS AGREEMENT (this “Senior Notes Purchase Agreement”) is entered into on May 21, 2013 among (i) PPL Capital Funding, Inc., a Delaware corporation (the “Company”), (ii) PPL Corporation, a Pennsylvania corporation (the “Guarantor”), and (iii) each of the several purchasers named in Schedule B hereto (the “Purchasers”).
