This AMENDMENT NO. 1 TO WARRANT (this “Amendment”), is entered into and shall be effective as of May 8, 2013 (the “Effective Date”), by and between BG Medicine, Inc. (the “Issuer”) and GE Capital Equity Investments, Inc. (“Holder”). Capitalized terms used but not defined herein shall have the meanings assigned to them in that certain Warrant by the Issuer in favor of the Holder, dated as of February 10, 2012 (the “Warrant”).

THIS FIRST AMENDMENT TO LOAN AND SECURITY AGREEMENT (this “Amendment”) is entered into as of May 8, 2013, by and among BG MEDICINE, INC., a Delaware corporation (“Borrower”); GENERAL ELECTRIC CAPITAL CORPORATION, a Delaware corporation (in its individual capacity, “GE Capital”), for itself as Lender and as Agent for Lenders; and the other Lenders signatory hereto from time to time.
