THIS AMENDED AND RESTATED REGISTRATION RIGHTS AGREEMENT is made and entered into as of May 6, 2013 by and among BLACKSTONE MORTGAGE TRUST, INC., a Maryland corporation formerly known as Capital Trust, Inc. (the “Company”), BLACKSTONE HOLDINGS III L.P., a Delaware limited partnership (the “Investor”) and BREDS / CT Advisors L.L.C., a Delaware limited liability company (the “Manager”).
