MASTER DEPOSIT AGREEMENT (this “Agreement”), dated as of April 24, 2013, among Boston Private Financial Holdings, Inc., a Massachusetts corporation (the “Company”), Computershare Inc., a Delaware corporation and its wholly-owned subsidiary, Computershare Trust Company, N. A., a national banking association (collectively, the “Depositary” or individually, “Computershare” and the “Trust Company” respectively ), and the holders from time to time of the Depositary Shares described herein.
