Second Amended and Restated Investment Advisory Agreement made as of March 8, 2006 and amended and restated as of December 6, 2011, (“Agreement”) between THE MEXICO FUND, INC., a Maryland corporation (the “Corporation”), and IMPULSORA DEL FONDO MEXICO, SC, a Mexican civil society having its principal office in Mexico City, Mexico (the “Adviser”).

Pursuant to a letter agreement dated June 22, 2000, as subsequently superseded on June 22, 2001 and on March 8, 2006, the Firm agreed to provide certain administrative services to the Fund. This letter agreement (the “Agreement”) shall supersede the terms and conditions of the March 8, 2006 letter.
