This Registration Rights Agreement (this “Agreement”) is dated as of April 5, 2013, among Intelsat (Luxembourg) S.A., a société anonyme existing under the laws of Luxembourg (the “Notes Issuer” ), Intelsat S.A., a société anonyme existing under the laws of Luxembourg (“Intelsat” or the “Guarantor”), and Goldman, Sachs & Co., as representative (the “Representative”) of the initial purchasers listed on Schedule I hereto (the “Initial Purchasers”).
