This STOCK PURCHASE AGREEMENT, dated as of April 4, 2013, by and among Entel Inversiones S.A., a corporation existing under the Laws of Chile (“Entel Inversiones”), Empresa Nacional de Telecomunicaciones S.A., a corporation existing under the Laws of Chile (“Entel”), NII Mercosur Telecom, S.L., a limited liability company existing under the Laws of Spain (“NII Telecom”), NII Mercosur Móviles, S.L., a limited liability company existing under the Laws of Spain (“NII Móviles”), and NII Holdings, Inc., a corporation existing under the Laws of the State of Delaware (the “Sellers’ Parent”).
