This REGISTRATION RIGHTS AGREEMENT dated March 19, 2013 (the “Agreement”) is entered into by and among MetroPCS Wireless, Inc. (the “Company”), a Delaware corporation, MetroPCS Communications, Inc., a Delaware corporation (“Parent”), MetroPCS, Inc., a Delaware corporation (“Holdco”), the subsidiaries of the Company party hereto (together with Parent and Holdco, the “Initial Guarantors”) and Deutsche Bank Securities Inc.
