EXPENSE LIMITATION AGREEMENT (the “Agreement”), effective as of December 18, 2012 by and between William Blair & Company, L.L.C., an Illinois limited liability company (the “Advisor”) and William Blair Funds, a Delaware statutory trust (the “Trust”), on behalf of the each series of the Trust reflected in Schedule A hereto, as may be amended from time to time (each a “Fund” and collectively, the “Funds”).
