THIS AMENDED AND RESTATED AGREEMENT OF LIMITED PARTNERSHIP OF HEALTHCARE TRUST OF AMERICA HOLDINGS, L.P. (this “Agreement”), dated as of December 20, 2012 (the “Restatement Date”), is entered into by and among (i) Healthcare Trust of America, Inc., a Maryland corporation, as general partner (the “General Partner”), and (ii) those Persons who have executed this Agreement or a counterpart hereof, or who become parties hereto pursuant to the terms of this Agreement.
