CacheIQ, Inc. (the “Company”) hereby grants you, (the “Participant”), an award of restricted stock units (“Restricted Stock Units”) under the CacheIQ, Inc. 2012 Equity Incentive Plan (the “Plan”) effective as of immediately prior to the closing of the transactions contemplated by that certain Agreement and Plan of Merger, dated November 6, 2012, by and among the Company, NetApp, Inc. and Skytrain Acquisition Corporation and Joel Trammell, as Stockholder Representative (such transactions, the “Merger,” such agreement, the “Merger Agreement” and the date of such closing, the “Effective Date”). Subject to the provisions of Appendix A (attached) and of the Plan, the principal features of this award are as follows:
