This Supplemental Executive Retirement Plan Agreement (“Agreement”) is entered into as of this 23rd day November, 2012 (the “Effective Date”) by and between Wilson Bank & Trust (the “Employer”), and Lisa Pominski, an individual resident of Tennessee (the “Executive”), and establishes the Wilson Bank & Trust Supplemental Executive Retirement Plan f/b/o Lisa Pominski (the “Plan”).

WHEREAS, Wilson Bank and Trust (the “Bank”) and John C McDearman III, (the “Executive”) established the Wilson Bank and Trust Life Insurance Endorsement Method Split Dollar Plan Agreement (the “Agreement”), originally effective as of January 1, 2006; and
AMENDED AND RESTATED LIFE INSURANCE ENDORSEMENT METHOD SPLIT DOLLAR PLAN AGREEMENTWilson Bank Holding Co • November 29th, 2012 • National commercial banks • Tennessee
This Agreement shall supersede the Life Insurance Endorsement Method Split Dollar Plan Agreement originally effective the 30th day of March, 1995, and shall constitute the entire agreement of the parties pertaining to this particular Amended and Restated Life Insurance Endorsement Method Split Dollar Plan Agreement.

WHEREAS, Wilson Bank and Trust (the “Bank”) and James Randall Clemons, (the “Executive”) previously entered into the Amended and Restated Wilson Bank and Trust Executive Salary Continuation Agreement (the “Agreement”), originally effective as of March 30, 1995; and

This Amendment, made and entered into this 21 day of August, 2003, by and between Wilson Bank and Trust, a Bank organized and existing under the laws of the State of Tennessee, hereinafter referred to as the, “Bank”, and Lisa Pominski, a Key Employee and Executive of the Bank, hereinafter referred to as the, “Executive”, shall effectively amend the Wilson Bank and Trust Amended and Restated Life Insurance Endorsement Method Split Dollar Agreement dated October 7, 2002, as specifically set forth herein pursuant to Paragraph XVI of said Agreement. Said Agreement shall be amended as follows:
