This CREDIT AGREEMENT (“Agreement”), is entered into on November 8, 2012, among NUTRISYSTEM, INC., a Delaware corporation (the “Company”), certain Subsidiaries of the Company party hereto pursuant to Section 2.14 (each a “Designated Borrower” and, together with the Company, the “Borrowers” and, each a “Borrower”), each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), MANUFACTURERS AND TRADERS TRUST COMPANY, as the Administrative Agent, Swing Line Lender and L/C Issuer (acting in its capacity as the Administrative Agent, the “Administrative Agent”).

THIS SECURITY AND PLEDGE AGREEMENT (this “Agreement”) is entered into November 8, 2012, among NUTRISYSTEM, INC., a Delaware corporation (the “Company”), NUTRI/SYSTEM IPHC, INC., a Delaware corporation, NSI TECH, INC., a Delaware corporation, NUTRISYSTEM DIY, LLC, a Delaware limited liability company, NUTRISYSTEM EVERYDAY, LLC, a Delaware limited liability company, and NSI Retail, LLC, a Virginia limited liability company and such other parties that may become Grantors hereunder after the date hereof (together with the Company, individually an “Grantor”, and collectively the “Grantors”) and MANUFACTURERS AND TRADERS TRUST COMPANY, in its capacity as administrative agent (in such capacity, the “Administrative Agent”) for the Secured Parties.
