THIS RESTRICTED STOCK GRANT AGREEMENT is dated as of (the “Grant Date”) between STRATTEC SECURITY CORPORATION, a Wisconsin corporation (the “Company”), and (“Recipient”).

Effective as of September 1, 2012 (the “Effective Date”), Mr. Stratton has retired as an employee and as Chief Executive Officer of the Company. Mr. Stratton will continue to serve as a member and non-executive Chairman of the Company’s Board of Directors, acting in that capacity as a “Service Provider” (as that term is defined in the Company’s Amended and Restated Stock Incentive Plan).
