This Separation Agreement and General Release (this “Agreement”) is made and entered into by and between Paul Ross (“Ross”) and Clinical Micro Sensors, Inc. d.b.a. GenMark Diagnostics, Inc., a Delaware corporation (the “Company”), and inures to the benefit of each of the Company’s current, former and future parents, subsidiaries, related entities, employee benefit plans and each of their respective fiduciaries, predecessors, successors, officers, directors, stockholders, agents, attorneys, employees and assigns. Ross acknowledges that he received termination notification by the Company on March 29, 2012.

This Non-Exclusive License Agreement (this “Agreement”) is entered into this 27th day of March, 2012 (the “Effective Date”), by and between Caliper Life Sciences Corporation, a Delaware corporation having a principal place of business at 68 Elm Street, Hopkinton, MA 01748 (“Licensor”), and Clinical Micro Sensors, Inc. d/b/a GenMark Diagnostics, Inc., a Delaware corporation having a principal place of business at 5964 La Place Court, Carlsbad, CA 92008 (“Licensee”), each also referred to herein individually as a “Party” and collectively as “Parties.”
