This GUARANTEE AGREEMENT (the “Guarantee”), dated as of May [ ], 2012, is executed and delivered by SOUTHERN CALIFORNIA EDISON COMPANY, a California corporation (the “Guarantor”), for the benefit of the Holders (as defined herein) from time to time of the Securities (as defined herein) of SCE TRUST I, a Delaware statutory trust (the “Trust”).
