THIS ASSET PURCHASE AGREEMENT (the “Agreement”) is made and entered into as of March 1, 2012, by and among (i) HealthMont of Georgia, Inc. (“Seller”) a Tennessee for-profit corporation, (ii) solely with respect to Section 5.6, Article 9 and Section 12.29, SunLink Health Systems, Inc.
