THIS AGREEMENT is amended and restated this 28th day of March 2012 by and between STATE FARM MUTUAL FUND TRUST, a Delaware business trust (the “Trust”), and STATE FARM INVESTMENT MANAGEMENT CORP., a Delaware corporation (the “Adviser”) to be effective upon the discontinuance of the S&P 500 Index Fund’s investment of all of its assets into the S&P 500 Stock Master Portfolio of Master Investment Portfolio.
