THIS AGREEMENT, made and entered into as of the 1st day of April, 1994 by and among CONNECTICUT MUTUAL LIFE INSURANCE COMPANY, (hereinafter the “Company”), a Connecticut corporation, on its own behalf and on behalf of each segregated asset account of the Company set forth on Schedule A hereto as may be amended from time to time (each such account hereinafter referred to as the “Account”), and the VARIABLE INSURANCE PRODUCTS FUND, an unincorporated business trust organized under the laws of the Commonwealth of Massachusetts (hereafter the “Fund”) and FIDELITY DISTRIBUTORS COPORATION (hereinafter the Underwriter”), a Massachusetts corporation.

This amendment, dated and effective as of May 1, 2011 (the “Amendment”), amends the Fund Participation Agreement dated as of August 30, 1999, as amended to date, by and between Janus Aspen Series, an open-end management investment company organized as a Delaware statutory trust (the “Trust”) and Massachusetts Mutual Life Insurance Company (the “Company”) (the “Agreement”). All capitalized terms used herein and not otherwise defined shall have the meaning ascribed to such term in the Agreement.
