This AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”) is made by and between CEP Services Company, Inc., a Delaware corporation (the “Company”), Lisa J. Mellencamp (“Executive”) and, solely for the limited purpose set out in Section 7(m) of this Agreement, Constellation Energy Partners LLC, a Delaware limited liability company (“CEP”).
