THIS REGISTRATION RIGHTS AGREEMENT (this “Agreement”) is made and entered into as of November 16, 2011, by and between Pacific Drilling S.A., a company organized under the laws of Luxembourg (the “Company”), and Quantum Pacific (Gibraltar) Limited, a company organized under the laws of Gibraltar (“Quantum”).
