THIS MEMBERSHIP INTERESTS PURCHASE AGREEMENT (this “Agreement”) is entered into as of March 19, 2012, by and among Saba Software, Inc., a Delaware corporation (“Parent”), HAL Acquisition Sub Inc., a Delaware corporation and a wholly-owned subsidiary of Parent (“Purchaser”), HumanConcepts, LLC, a California limited liability company (the “Company”), and Martin Sacks, an individual (“Seller”).
