This AMENDED AND RESTATED EMPLOYMENT AGREEMENT (this “Agreement”), dated as of October 27, 2011, is entered into by and between REVLON CONSUMER PRODUCTS CORPORATION, a Delaware corporation (“RCPC” and, together with its parent Revlon, Inc. (“Revlon”) and its subsidiaries, the “Company”), and David Kennedy (the “Executive”).
