THIS STOCK PURCHASE AGREEMENT, dated as of September 12, 2011, 2011 (this “Agreement”), is entered into by and between Medicis Pharmaceutical Corporation, a Delaware corporation (“Seller”), and Solta Medical, Inc., a Delaware corporation (“Buyer”). Buyer and Seller are sometimes referred to herein as the “Parties.”

(collectively “Defendants”) having met, conferred, and agreed to resolve their dispute upon execution of a separate Settlement Agreement (“Settlement Agreement”), Medicis respectfully moves for entry of the executed Consent Judgment and Permanent Injunction submitted herewith. Defendants do not oppose this motion.
