THIS OMNIBUS AMENDMENT NO. 1 (the “Amendment”) is made as of September 23, 2011 by and among Actuant Corporation, a Wisconsin corporation (the “Company”), Actuant Ltd., a company organized under the laws of England (“Actuant Ltd.”), Actuant Finance Ltd., a company organized under the laws of England (“Actuant Finance” and, collectively with the Company and Actuant Ltd., the “Borrowers”), each of the Subsidiaries of the Company listed on the signature pages hereto, the financial institutions listed on the signature pages hereto and JPMorgan Chase Bank, N.A., as the administrative agent for the “Lenders” referred to below (in such capacity, the “Agent”) and relates to (i) that certain Third Amended and Restated Credit Agreement, dated as of February 23, 2011, among the Borrowers, the financial institutions from time to time parties thereto (the “Lenders”) and the Agent (as amended, restated, supplemented or otherwise modified prior to the date hereof, the “Credit Agreement”) and (ii) tha
