AMENDED AND RESTATED CREDIT AGREEMENT, dated as of October 19, 2011, among AVÍCOLA PILGRIM’S PRIDE DE MÉXICO, S. de R.L. de C.V., a sociedad de responsabilidad limitada de capital variable organized under the laws of the United Mexican States (“Avícola”) and PILGRIM’S PRIDE, S. de R.L. de C.V., a sociedad de responsabilidad limitada de capital variable organized under the laws of the United Mexican States (each a “Borrower” and collectively, the “Borrowers”), CERTAIN SUBSIDIARIES OF THE BORROWERS FROM TIME TO TIME PARTIES HERETO, as Guarantors, the several banks and other financial institutions from time to time parties hereto, as Lenders (as such term is hereinafter defined), and ING CAPITAL LLC (in its capacity as a Lender, “ING”), as lead arranger and as administrative agent for the Lenders hereunder.
