This CREDIT AGREEMENT (“Agreement”) is entered into as of August 29, 2011, among WEINGARTEN REALTY INVESTORS, a Texas real estate investment trust (the “Borrower”), each lender from time to time party hereto (collectively, the “Lenders” and individually, a “Lender”), THE BANK OF NOVA SCOTIA, as Administrative Agent (the “Administrative Agent”), PNC BANK, NATIONAL ASSOCIATION and SUMITOMO MITSUI BANKING CORPORATION, as Syndication Agents, and U.S. BANK NATIONAL ASSOCIATION, as Documentation Agent.

THIS GUARANTY dated as of August 29, 2011 executed and delivered by each of the undersigned, whether one or more, (all each a “Guarantor” and, collectively, the “Guarantors”), in favor of (a) The Bank of Nova Scotia, in its capacity as Administrative Agent (the “Agent”) for the Lenders under that certain Credit Agreement dated as of August 29, 2011, by and among WEINGARTEN REALTY INVESTORS (the “Borrower”), the financial institutions party thereto and their assignees in accordance therewith (the “Lenders”), and the Agent (as the same may be amended, restated, supplemented or otherwise modified from time to time in accordance with its terms, the “Credit Agreement”) and (b) the Lenders.
