This amended and restated Time Sharing Agreement (the “Agreement”), is made and entered into this 16th day of May, 2011, by and between International Paper Company, a New York corporation (“Operator” or the “Company”), and John V. Faraci, chairman and chief executive officer of the Company, with a primary residence in Memphis, Tennessee (“User”).
