THIS AMENDED AND RESTATED EMPLOYMENT AGREEMENT (“Agreement”), is made as of this 17th day of May 2011 by and between THE PROVIDENCE SERVICE CORPORATION, a Delaware corporation, with its corporate headquarters located at 64 East Broadway Blvd., Tucson, AZ, 85701 its successors and assigns (hereinafter collectively referred to as “Company”), and MICHAEL N. DEITCH an individual residing at 1718 North Avenida Ricardo Small, Tucson, AZ 85715 (“Employee”).
