This Administrative Services Agreement (the “Agreement”), dated as of May 1, 2010, is by and between Columbia Wanger Asset Management, LLC (the “Administrator”), a Delaware limited liability company, and Wanger Advisors Trust, a Massachusetts business (the “Trust”), acting on behalf of its series listed in Schedule A. The terms “Trust” or “Fund” are used to refer to Wanger Advisors Trust or its series, as context requires.

This agreement (the “Agreement”) is made as of this 1st day of May, 2010, by and between Wanger Advisors Trust (the “Trust”), a Massachusetts business trust, acting on behalf of its series all as listed on Schedule A hereto (as the same may from time to time be amended to add or delete one or more series of the Trust) (each series of the Trust, if any, being hereinafter referred to as a “Fund”), and Columbia Management Investment Services Corp., a Minnesota corporation (the “Transfer Agent”).

THIS UNDERWRITING AGREEMENT (“Agreement”), is made as of May 1, 2010 by and between Wanger Advisors Trust, a business trust organized and existing under the laws of the Commonwealth of Massachusetts (the “Trust”), on behalf of each series of the Trust listed on Schedule I (each, a “Fund” and collectively, the “Funds”), and Columbia Management Investment Distributors, Inc., a corporation organized and existing under the laws of the state of Delaware (hereinafter called the “Distributor”).

This Investment Advisory Agreement (the “Agreement”), dated as of May 27, 2010, is by and between Wanger Advisors Trust, a Massachusetts business trust registered under the Investment Company Act of 1940, as amended (the “1940 Act”), as an open-end diversified management investment company (the “Trust”), and Columbia Wanger Asset Management, LLC, a Delaware limited liability company (“Columbia WAM”) registered as an investment adviser under the Investment Advisers Act of 1940, as amended (the “Advisers Act”).
