This Agreement is made effective as of June 3, 2009, by and between Frisch’s Restaurants, Inc., an Ohio corporation (hereinafter referred to as “Corporation”) and Craig F. Maier (hereinafter referred to as “Maier”) and is hereby amended effective April 6, 2011 following approval by the Board of Directors.
