This Registration Rights Agreement (this “Agreement”) is dated as of April 5, 2011, among Intelsat Jackson Holdings S.A., a société anonyme existing under the laws of Luxembourg (the “Notes Issuer” ), Intelsat (Luxembourg) S.A., a société anonyme existing under the laws of Luxembourg (“Intelsat Luxembourg”), Intelsat S.A., a société anonyme existing under the laws of Luxembourg (“Intelsat” and, together with Intelsat Luxembourg, the “Parent Guarantors”), the subsidiary guarantors listed on Schedule II hereto (the “Subsidiary Guarantors” and, together with the Parent Guarantors, the “Guarantors”) and Barclays Capital Inc. as representative (the “Representative”) of the initial purchasers listed on Schedule I hereto (the “Initial Purchasers”).
