THIS EMPLOYMENT AGREEMENT (this “Agreement”) is made and entered into as of this 28th day of December, 2010, but is effective as of January 28, 2011 (the “Effective Date”), by and between SUSQUEHANNA BANCSHARES, INC., a Pennsylvania corporation (the “Company”), and Gregory A. Duncan, an adult individual whose principal residence is at (the “Employee”), on the other side.
