WHEREAS, the Borrowers have requested the Lenders to make available a credit facility pursuant to which (a) the Borrowers may borrow revolving credit loans and (b) one or more Issuing Banks will issue Letters of Credit for the account of the Company. The proceeds of the Loans and the Letters of Credit shall be used by the Company and its Subsidiaries for general corporate purposes including, without limitation, working capital, repayment, prepayment or purchase of long-term Indebtedness, Acquisitions, Investments and Restricted Payments.
