This Registration Rights Agreement (this “Agreement”) is dated as of November 3, 2010, among OMNOVA SOLUTIONS INC., an Ohio corporation (the “Company”), the guarantors listed on the signature pages hereto (the “Guarantors”) and DEUTSCHE BANK SECURITIES INC., JEFFERIES & COMPANY, INC. and KEYBANC CAPITAL MARKETS INC., as initial purchasers (the “Initial Purchasers”).
