THIS THIRD SUPPLEMENTAL INDENTURE (the “Supplemental Indenture”) dated as of the 14th day of October 2010, among DaVita Inc., a Delaware corporation (the “Company”), the Guarantors (as defined below) and The Bank of New York Mellon Trust Company, N.A., as Trustee (the “Trustee”), amends and supplements (x) the Indenture dated as of March 22, 2005 among the Company, the Guarantors named therein, as guarantors (the “Guarantors”), and the Trustee (the “Original Indenture”) with respect to the Company’s 6 5/8% Senior Notes due 2013 (the “Notes”), as amended and supplemented by that certain First Supplemental Indenture dated as of October 5, 2005 among the Company, the Guarantors and the Trustee and that certain Second Supplemental Indenture dated as of February 9, 2007 among the Company, the Guarantors and the Trustee and (y) the Notes.
