THIS AGREEMENT evidences the grant by UNITED PARCEL SERVICE, INC., a Delaware corporation (the “Company”), in accordance with the United Parcel Service, Inc. Incentive Compensation Plan (the “Plan”) to , a non-management director of the Company, of Restricted Stock Units (“RSUs”).
