THIS PURCHASE AND SALE AGREEMENT (this “Agreement”) is made and entered into as of the 24th day of December, 2009, by and among SENTINEL PROPERTIES – NEEDHAM, LLC, a Delaware limited liability company (“Unit Seller”), SP – NEEDHAM I, LLC, a Delaware limited liability company (“Ground Lease Seller” and together with Unit Seller, the “Seller”), and DIGITAL REALTY TRUST, L.P., a Maryland limited partnership (“Purchaser”).
