This Nonqualified Stock Option Agreement (Under the Cardinal Health, Inc. Stock Option Exchange Program) (this “Agreement”), together with the Option Terms (as defined below) and the Cardinal Health, Inc. 2005 Long-Term Incentive Plan, as amended and restated as of November 5, 2008 (the “Plan”), set forth the terms and conditions of the agreement by and between Cardinal Health, Inc., an Ohio corporation (the “Company”), and Awardee (as defined below) relating to the option (the “Option”) granted to Awardee under the Cardinal Health, Inc.
