THIS SEPARATION AGREEMENT AND RELEASE (this “Agreement”) is entered into as of the 9th day of June, 2009 by and between JAMES R. MILLIGAN (“Mr. Milligan”), and QUADRAMED CORPORATION, a Delaware corporation (the “Company”).
